Beat License Agreement â EXCLUSIVE / CUSTOM
Exclusive Transfer â Negotiated Per Deal
This is a bespoke, negotiated agreement. Unlike the lease tiers, an exclusive deal must be individually agreed and signed by both the Producer and the Buyer before any exclusive rights take effect. The fields in square brackets are deal points to be negotiated and completed for each transaction. Price is on request. Do not treat this as an instant, click-to-buy licence â an exclusive sale removes the Beat from sale to everyone else and should be confirmed in a signed contract.

1. Grant of Exclusive Rights
Subject to full payment of the negotiated Fee and signature by both parties, the Producer grants the Buyer an exclusive, worldwide licence to use the Beat in the recording, distribution, performance, broadcast, and monetization of new musical composition(s), with no numerical caps on copies, streams, music videos, radio, or performances.
The scope of the grant is defined by the parties below:
- Exclusivity model: â Exclusive licence (Producer retains copyright but grants sole/exclusive use) â Full assignment / buy-out of the Producer's rights in the Beat (select and detail; a full copyright assignment must be expressly agreed in writing).
- Rights included: [e.g. master use, synchronisation, mechanical, performance â specify].
2. Removal From Store (Exclusivity)
Upon full payment and signature, the Producer will remove the Beat from all stores, catalogues, and marketplaces and will cease selling, leasing, or licensing the Beat to any other party for the duration of this Agreement. [Specify treatment of any leases already sold before this exclusive deal: â none exist â pre-existing non-exclusive leases remain valid and are disclosed in Schedule A.]
3. Delivery
The Producer will deliver WAV + MP3 files plus the full track stems / project files as agreed, following receipt of payment and signature by both parties.
4. Publishing, Royalties, and Splits (Negotiated)
The parties agree the following (complete all that apply; leave blank if not applicable):
- Publishing / composition split: Producer [ ]% / Buyer [ ]%.
- Master ownership: [Buyer / Producer / joint â specify].
- Producer royalty / points: [ ]% of [net receipts / other basis], if any.
- Mechanical & performance royalties: [how collected and split].

If no split is agreed, state expressly: "No ongoing royalty or split; this is a one-time buy-out for the Fee stated above."
5. Producer Credit
Unless expressly waived in writing, the Buyer shall credit the Producer as "Prod. by Alek / Foster House Studios" in the release metadata and liner notes. [â Credit required â Credit waived â select.]
6. Representations and Warranties
The Producer represents that they are the sole creator and owner of the Beat, that it is original, and that it does not (to the Producer's knowledge) infringe any third party's rights, and that they have full authority to grant the rights in this Agreement. The Buyer represents that they have authority to enter into this Agreement.
7. Term and Termination
- This Agreement takes effect on the Effective Date, once signed by both parties and paid in full, and continues in perpetuity unless otherwise stated in Section 1. [Edit if a fixed term or reversion is negotiated.]
- Either party may terminate for the other's material, uncured breach on written notice. The consequences of termination (including any reversion of rights) shall be as set out in Section 1 / Schedule A.
- Sections 4, 6, 8, 9, and 10 survive termination.
8. Payment
The exclusive rights transfer only upon receipt of the full negotiated Fee and signature by both parties. Given the bespoke, exclusive nature of this Agreement, refunds are handled as expressly agreed between the parties in writing; otherwise the Fee is non-refundable once rights have transferred and files have been delivered, subject to mandatory law.
9. Warranty Limitation and Liability
Except for the representations in Section 6, the Beat is provided "as is". To the maximum extent permitted by law, the Producer's total liability under this Agreement is limited to the Fee paid, save that nothing limits liability for intent, gross negligence, or injury to life, body, or health. Each party shall indemnify the other against claims arising from its own breach of its representations.
10. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Federal Republic of Germany, excluding the CISG. The place of jurisdiction, to the extent legally permissible, is Berlin, Germany.
11. Signed, Bespoke Contract Required
This Agreement is not effective until it has been completed with the negotiated deal points and signed by both the Producer and the Buyer (handwritten or qualified/advanced electronic signature). No exclusive rights, removal from store, or rights transfer occur before signature and full payment. This document supersedes any prior understanding and may be amended only in writing signed by both parties.
